Our Corporate Governance model is based on transparency, equity in treating people - especially stockholders - integrity in actions and in accountability, so as to increase company value, facilitate its access to capital and assure business solidity.
Our Corporate Governance structure has recently undergone revision, thus being adapted to the new company reality of having become a corporation. Good practices previously established have been maintained and the new Corporate Governance structure has matured with management renewal, role reassignment, audits and independent committees.
The Board of Directors has 5 members, two of which are Devex founders and other two are from FIR Capital, representing FUNDOTEC II, which is an investment fund for innovative companies with exponential growth potential. As board chairman, we have the illustrious Sebastião Henrique Ubaldo Ribeiro, with over 25 years’ experience leading large corporations, including 9 years as the CEO of BHP Billiton in Brazil.
The main purpose of the Board of Directors is to define and support strategies, as well as Devex's positioning in the market, planning guidelines and strategic actions and also discussing suggestions and proposals made by the Board of Executives.
The Board of Executives is appointed by the CEO and agreed upon by the Board of Directors. Its role is to act according to what was planned by the Board of Directors, in addition to obtaining and maintaining performance indices related to Devex's strategic activities.
The CEO can also rely on a team of junior executives who play key-roles in daily activities at Devex. His office is composed of 3 executives, who work in a wide range of activities, from those intended to maintain organizational climate, going through market strategic planning to the establishment and monitoring of macro and individual goals in each management area in the company.
